Minutes of the Annual Meeting of Co-owners 

Shelby Twp. Municipal Building “Board Room” 

Nov. 16, 2016 at 7:00 PM

A) Meeting was called to order at 7:07 P.M.

B) Introductions: Mike Grobbel (President), Ray Swiderski (Secretary), Larry Cybulski (Treasurer), Mike O’Brien (Casa Bella Property Mgmt.)

C) Established Quorum

D) Motion to approve the minutes of the previous Annual Meeting as presented (moved: Heinz Buechel, seconded: Kevin O’Connor); motion passed.

E) Board of Directors Election: (2) openings to be filled via election, 3rd opening has been filled by the Developer (Dominic Geric), per the rights given the Developer in Article IV, Section 1, Paragraph (c) of our Condominium Bylaws.

(3) candidates were nominated from the floor:
      1) Larry Cybulski (moved: Ray Swiderski, seconded: Heinz Buechel)
      2) Larry Norman (moved: Larry Cybulski, seconded: Jan Despres)
      3) Mark D’Amico (moved: Rita Bonanni, seconded: Don Dereadt)

Voting - each ballot could be voted in favor of no more than two of the three candidates

Election results – Larry Cybulski and Larry Norman were the top-two vote recipients and will serve one-year terms on the Board. Dominic Geric (or his representative) is entitled to Board membership as long as he has at least 17 new units for sale.

F) Board of Directors report

2017 budget – monthly dues are unchanged from 2016; planned expenditures are the same except for increases due to (16) more new units; planned expenditures are based on assumption that the Association will be reimbursed for 2016 expenses to repair damages caused by new construction, if not, lawn watering frequency will have to be cut back in 2017.

Conversion from city water to well water for all Manors lawn irrigation – the Board of Directors discussed the cost and savings available to the Association by drilling three water wells and thus eliminating the need to purchase water from Shelby Twp.; feedback from the members indicated that regardless of the savings, they do not want to use well water for lawn irrigation because of the potential for staining of buildings and concrete caused by the high iron content of the groundwater, as evident at the nearby Kensington Condos.

G) Open Discussion – (7) members volunteered their services when needed by the Board

H) Motion to Adjourn the Meeting (moved: Heinz Buechel, seconded: Joel Ozment); motion passed; the meeting was adjourned at 8:59 P.M.

Minutes of 2016 Annual Membership Meeting

The 2016 Annual Membership Meeting was held on the evening of Jan. 27, 2016.

Mike Grobbel, Larry Cybulski and Ray Swiderski were each elected to the Board of Directors for a one-year term.

1. Called to Order at 1:00 PM; Board members in attendance: Mike Grobbel, Larry Cybulski, Ray Swiderski; also in attendance: Mike O’Brien (Casa Bella).
2. The Meeting Agenda was approved with no changes.
3. The Board approved the minutes of the Special Meeting of March 17, 2015
4. New Business
1. 2016 Budget – the Board reviewed the proposed budget and adjusted selected amounts to provide additional funds for grounds repair & maintenance, tree/shrub maintenance, exterior wood repair and road maintenance.
2. The Board approved the adjusted budget for 2016:

                                                    i.     Monthly Association Fees remain same as 2015

                                                   ii.     Total Income of $318,840 based on 127 total units

                                                  iii.     Total Operating Expenses of $286,358

                                                  iv.     Total contributions to Replacement Reserve Account of $31,884  

3. The Board agreed to publish a  newsletter and discussed its content
4. The Board reviewed and approved a Welcoming Letter with slightly different version to be sent to new buyers of:

                                                    i.     Newly constructed condos (Units 35-157)

                                                   ii.     Existing condos (Units 15-167)

                                                  iii.     Existing site condos (Units 1-14)

5. Set date, time and place for 2016 Annual Membership Meeting

                                                    i.     Wed. Jan. 27, 2016

                                                   ii.     Sign-in begins at 6:30 p.m.; meeting begins at 7:00 p.m.

                                                  iii.     Board Room, Shelby Twp. Municipal Building

5. Old Business – the Board discussed:
1. Delinquencies
2. Rental units
6. Open Discussion – there were no items discussed
7. Set next Board of Directors Regular Meeting date, time and place; the Board agreed
1. to allow the president to call the next meeting
2. that a meeting will probably be needed to be held in early January 2016
8. The meeting was adjourned at 2:42 p.m.

Copies of the rules were mailed to all co-owners on March 24, 2015 and they become effective April 5, 2015.

Minutes of the 15 August 2014
Meeting of the Board of Directors of the

1.     Meeting was held at the residence of Mike Grobbel, 49997 Lexington Ave. East, Shelby Township, MI 48317.

2.     Meeting began at 9:55 AM EDT; Quorum was established with three Board Members being present.  Board Members present: President Mike Grobbel, Treasurer Larry Cybulski, and Secretary Bhartan Amin. 

3.     Approved the agenda for this meeting.

4.     The Board formally approved the 25 April 2014, meeting minutes.

5.     Management Report from Brandi Lane was reviewed.

a.     Awaiting quotes from two contractors, one to finish the tree trimming project and the other to make repairs to damaged lawn areas. Quotes are expected from one contractor later today and from the other early next week.

b.     Delinquency report was reviewed.  One account will be referred to an attorney for further action.

6.     Updates from President Grobbel

a.     Proposed revisions to Rules & Regulations.  Lengthy discussion took place on parking and trash.  With minor corrections, revised Rules and Regulations dated August 15, 2014 were unanimously approved [link]. Copies will be mailed to all co-owners and residents along with the Fall 2014 newsletter.

1.       Meeting was held at the offices of Kramer-Triad Management Group, L.L.C., 320 East Big Beaver Road, Ste 190, Troy, MI 48083.

2.       Meeting began at 9:40 AM ET; Quorum was established with all three Board Members being present.  Board Members present: President Mike Grobbel, Treasurer Larry Cybulski, and Secretary Bhartan Amin (by teleconference).  Also present: Ryan Dorner (Kramer-Triad property management).

3.       The Board approved the agenda for this meeting.

4.       The Board approved the meeting minutes of the Meeting of 27 September 2013.

5.       New Business:

a.       Management Report – Ryan Dorner

                                                   i.      The Board reviewed the Renters Report.

                                                 ii.      The Board reviewed the Violation Report.

                                                iii.      The Board reviewed the Work Order Report for the month of October 2013.

                                                iv.      For special pick-up of large items such as furniture and appliances:  Residents may set out large bulky items on the regular scheduled service day for collection. They may also call the Rizzo Customer Care Center at (866) 772-8900 if they wish to schedule a pickup. Please place large bulky items out separate from other products for collection and have them out by 7:00 A.M. Large items may include: washers, dryers, freezers, refrigerators, air conditioners, hot water tanks, stoves, microwaves, couches, chairs, tables, dressers, etc.

b.       Discussion of 2014 budget as presented by President Grobbel.  Based on past budgets from 2008 – 2012 and actuals of 2013, estimates for 2014 were generated.

                                                   i.      Contributions to Replacement Reserves of $29,598, 10% of 2013 budgeted income.

                                                 ii.      For updating the governing documents, CC&R and By-laws, $15,000 were allocated.

                                                iii.      Monthly assessments for 2014 will remain unchanged.

3.       The Board approved the agenda for this meeting.

4.       The Board approved the meeting minutes of the Meeting of 15 March 2013.

5.       New Business:

a.       Management Report – Ryan Dorner

                                                   i.      Ryan reviewed the items in the Management report with the Board.

                                                 ii.      Ryan updated the Board on Central Park Master Association Board discussions at their meeting of 26 September 2013:

1.       There was a discussion about granting an easement along North Central Park to allow WOW! Cable to service the Manors and the other three sub-associations in Central Park.  Master Board indicated their intention to sign the documents granting the easement.

2.       Should volunteers or a contractor install holiday decorations at both entrances to Central Park?  If they get volunteers, they can put up more decorations.
